"Third-Party Services": Refers to any external services, platforms, software, or applications that may be integrated with or utilized alongside suisub's Services to deliver enhanced functionalities, including payment gateways, data analytics tools, social media integration, and marketing automation systems.

It is important that Clients familiarize themselves with these definitions to fully understand their rights, responsibilities, and the conditions that apply when using suisub's Platform and Services.
Scope of Services
Description of Services Provided
suisub provides a comprehensive suite of automated marketing systems and services specifically tailored for blockchain and Web3 projects. These services include, but are not limited to:
Webflow Website Development: Creation and customization of high-performance websites on the Webflow platform, designed to support the unique needs of Web3 startups and blockchain initiatives.
Automated Growth Systems: Implementation of growth strategies utilizing automation to maximize project visibility and lead generation, minimizing the need for manual intervention.
Marketing Analytics Systems: Provision of advanced marketing analytics solutions that offer real-time insights into user engagement, conversion rates, and overall marketing performance.
Lead Magnet Funnel Creation: Development of tailored lead magnet funnels to enhance lead generation and streamline user acquisition through automated workflows.
Sales Funnel Development: Design and implementation of automated sales funnels to convert leads into loyal customers, optimizing the sales process for blockchain projects.

Public Relations (PR) Services: suisub does not engage in media relations, press releases, influencer outreach, or other PR services.
Direct Human Management: Any services requiring manual management, real-time communication by dedicated personnel, or specific non-automated interventions are not included.
Legal or Financial Advisory Services: suisub does not provide any legal or financial advisory services related to blockchain projects, compliance, or regulations.
Social Media Account Management: The company does not offer services for managing social media accounts manually, such as posting content, replying to comments, or engaging with followers.
Content Creation: suisub does not provide services related to the creation of marketing content such as articles, blogs, or visual assets unless explicitly covered under a separate agreement.
suisub reserves the right to define the exact boundaries of the services it provides, and the exclusions mentioned herein are not exhaustive.
Modification of Services
suisub reserves the right to modify, update, or discontinue any of its services at its sole discretion. This may include adding new features, removing outdated functionalities, or entirely discontinuing any of the existing services provided. Such modifications may be implemented to reflect advancements in technology, improvements in service quality, or changes in market conditions.
Users will be notified of any material changes to the services provided. suisub aims to ensure that any modifications are made to enhance the quality, security, and functionality of its services, thereby delivering the best possible outcomes to clients.
Clients are responsible for regularly reviewing the terms and the scope of the services offered to stay informed of any updates or changes. Continued use of suisub's services after modifications have been made constitutes acceptance of those changes.
User Eligibility and Obligations

Client Responsibilities
Clients using suisub's services are expected to comply with the following obligations:
Compliance with Terms: Users are required to comply with these Terms & Conditions, as well as any additional policies, procedures, or guidelines communicated by suisub from time to time. Non-compliance may result in the suspension or termination of access to suisub's services.
Provision of Information: Clients are responsible for providing accurate and complete information necessary for the provision of services. This may include project details, business requirements, and any other information deemed essential by suisub. Failure to provide accurate information may affect the quality and delivery of services.
Adherence to Policies: Users must adhere to suisub's policies, including its Anti-Spam Policy, Privacy Policy, and any other relevant guidelines. Users must ensure that their use of suisub's services does not violate any applicable laws or infringe on the rights of third parties.
Prohibited Activities: Users are prohibited from engaging in activities that could harm suisub or other users, including but not limited to:Using suisub's services for unlawful purposes.Attempting to gain unauthorized access to suisub's systems or accounts of other users.Engaging in any activity that could disrupt or damage suisub's platform or services.
By using suisub's services, clients agree to fulfill these responsibilities, ensuring a productive and lawful use of the platform. Failure to comply with these obligations may result in the restriction, suspension, or termination of access to suisub's services, without any liability to suisub.
Contractual Relationship
Agreement Formation
The contractual relationship between suisub and the user is established upon the acceptance of these Terms & Conditions, which occurs under any of the following scenarios:
Account Sign-Up: By creating an account on suisub's platform, the user agrees to these Terms & Conditions, thereby forming a binding contractual relationship.

Termination of Agreement
Either party, suisub or the user, has the right to terminate this agreement under specific circumstances:
Termination by suisub: Suisub may terminate this agreement with immediate effect, without prior notice, if the user breaches any of the terms outlined in this document. Such breaches may include but are not limited to the misuse of services, failure to comply with client obligations, or engaging in prohibited activities. Additionally, suisub reserves the right to terminate a user's access to its services if deemed necessary to protect the interests of suisub, its clients, or to comply with applicable laws.
Termination by User: Users may terminate their subscription or this agreement by providing written notice to suisub. The termination will take effect after the end of the current billing cycle, and no refunds will be issued for any unused portion of the subscription unless otherwise specified in the Payment Terms & Refund Policy.
Notice Period: Where feasible, suisub will provide users with reasonable notice of service termination, particularly in cases where termination is not related to a user's breach. This allows the user an opportunity to remedy any issue where applicable or to make alternative arrangements.
Effect of Termination
Upon termination of the contractual relationship between suisub and the user:
Access Restriction: The user's access to suisub's services, including account credentials, subscription benefits, and client panels, will be terminated. This includes any features or services accessible through the user's account on suisub's platform.
Data Retention: suisub reserves the right to retain or delete any data provided by the user as required to comply with its legal obligations or to enforce its rights under these Terms & Conditions. Users may request a copy of their data before termination, subject to any legal restrictions or technical feasibility.
Outstanding Payments: Users will remain liable for any outstanding payments for services provided by suisub up until the date of termination. Failure to settle such payments may result in additional collection efforts, including but not limited to legal action or engaging third-party collection agencies.
Effect on Services: Any ongoing or scheduled services will be canceled effective immediately upon termination, and suisub will no longer be obligated to deliver any services that were part of the terminated subscription. Users are encouraged to download any deliverables or reports before termination to ensure they retain any work completed by suisub prior to termination.
The termination terms ensure that both suisub and the user have clear expectations regarding their obligations and rights at the conclusion of the contractual relationship. By agreeing to these terms, users acknowledge their responsibilities upon termination and understand the procedures that will follow.
Payment Terms

Billing cycles and invoicing details are also defined in each client’s subscription agreement. suisub follows a structured billing process where invoices are generated at the beginning of each billing cycle, based on the agreed-upon subscription plan. Billing cycles may vary, depending on the selected plan (e.g., monthly, quarterly, or annually). Users are required to provide accurate billing information at the time of subscription, and they will be billed automatically for each cycle until the subscription is canceled. Payment methods accepted by suisub include common payment solutions such as credit card payments, bank transfers, and other electronic payment systems as outlined in the subscription agreement.
Refund and Cancellation Policy
suisub follows a strict no-refund policy for its services. Once a payment is made, it is considered final, and no refunds will be issued for any part of the subscription period that remains unused. This policy is implemented to maintain operational continuity and ensure that resources are allocated efficiently to serve our clients.
However, users have the right to cancel their subscription at any time. The cancellation will take effect at the end of the current billing cycle, meaning that users can continue to access suisub’s services until the current paid period expires. No refunds will be provided for the remaining portion of the subscription period after cancellation is requested, and users will not incur any additional fees beyond the current billing cycle.
To initiate cancellation, users must provide written notice via the platform or other contact methods specified by suisub. Upon successful submission of a cancellation request, users will receive confirmation of the cancellation, including details of the effective cancellation date and any ongoing access they may have until the end of the current billing period.
By subscribing to suisub’s services, users agree to the payment terms, including the no-refund policy, and acknowledge their responsibilities regarding billing and cancellations. suisub is committed to transparency and ensures that all pricing, billing, and refund-related terms are communicated clearly in the subscription agreement provided to each client.
Intellectual Property Rights
Ownership
All content, marketing systems, technology, proprietary tools, and any other materials produced or developed by suisub, including but not limited to website development, automated growth systems, analytics dashboards, and associated deliverables, are and shall remain the sole property of suisub. This includes all intellectual property rights, whether they are protected by copyright, trademark, or other applicable laws. Clients do not acquire any ownership rights over the systems or tools created and implemented by suisub in the course of delivering its services. suisub retains the right to use, modify, and distribute these materials for its business purposes, and reserves all rights not expressly granted herein.
License to Use
During the term of the agreement, suisub grants clients a limited, non-exclusive, non-transferable, and revocable license to use the marketing systems, dashboards, and other tools provided as part of suisub’s services. This license is granted strictly for the purpose of allowing clients to use the deliverables within their business operations, in accordance with the terms of the subscription agreement. Clients are prohibited from sublicensing, reselling, or otherwise redistributing suisub’s proprietary tools or systems to any third party. Upon termination of the agreement, this license will immediately expire, and clients must cease all use of suisub’s systems, dashboards, and proprietary technology.
Client Content
Clients may provide content, data, or other materials ("Client Content") to suisub as part of the services rendered. By providing Client Content, clients grant suisub a non-exclusive, royalty-free, worldwide license to use, modify, reproduce, and distribute such content for the purposes of delivering suisub’s services. This includes, but is not limited to, using Client Content for developing marketing strategies, building lead magnet funnels, integrating with marketing analytics systems, and any other service-related purposes. suisub agrees to handle Client Content with confidentiality and care, ensuring that it is only used in ways necessary to fulfill the agreed-upon services. Ownership of all Client Content remains with the client, and suisub will not use such content for purposes beyond service delivery without obtaining prior written consent from the client.
By engaging with suisub’s services, clients acknowledge and agree to these intellectual property rights, including suisub’s ownership of the marketing systems and tools developed, the limitations of the granted license, and the permissible use of Client Content in providing services.
User Data and Privacy

This may include, but is not limited to, user names, contact details, business information, and interaction data gathered through the use of suisub's website and services. Consequences of Misuse

However, suisub maintains no direct control over the functionality or reliability of these third-party services, which may occasionally impact the overall service delivery.
Third-Party Liability

However, suisub cannot guarantee the performance or availability of services provided by third-party vendors. The client acknowledges that any technical issues, data breaches, or service interruptions resulting from third-party tools are beyond suisub’s control and shall not hold suisub liable for damages or disruptions arising from such issues. suisub will endeavor to mitigate the impact of third-party failures, but ultimate responsibility lies with the third-party service provider. Clients are encouraged to understand the limitations and terms of service of third-party tools integrated by suisub.
User Interactions with Third Parties
When users interact with third-party services integrated into suisub's platform, they may be subject to additional terms and conditions or policies defined by these third parties. Users agree to comply with these terms and acknowledge their responsibility to understand how third-party services operate. suisub is not responsible for any actions taken by third-party providers, nor for any issues that may arise due to misuse or misunderstanding of the third-party services by users. suisub encourages clients to familiarize themselves with third-party policies to ensure a smooth and effective utilization of all integrated services.
Disclaimers and Limitations of Liability
No Warranty
The services provided by suisub are offered on an "as is" and "as available" basis without any warranties, express or implied, unless otherwise explicitly stated in a signed agreement. suisub disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Clients understand that suisub cannot guarantee that the services will meet their expectations or that the functionality of the services will be uninterrupted, error-free, or free of harmful components. suisub is not responsible for any delays, failures, interruptions, or loss of data arising out of the use of the services, and clients acknowledge that they assume full responsibility for any actions taken based on the services provided.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall suisub, its directors, employees, agents, partners, or affiliates be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the use or inability to use the services, even if suisub has been advised of the possibility of such damages. This includes, but is not limited to, loss of profits, business, data, or goodwill, whether based on warranty, contract, tort (including negligence), or any other legal theory. suisub’s aggregate liability for any claims arising under these terms or from the use of services shall be limited to the amount paid by the client to suisub in the preceding twelve (12) months, or where applicable, to the lowest limit permitted by law. This limitation applies to all claims, regardless of whether the damages were foreseeable or whether any party was advised of the possibility of such damages.
No Guarantees on Results
While suisub is committed to delivering marketing systems that leverage industry best practices and advanced automation tools, no guarantees are made regarding the specific outcomes clients will achieve. The success of any marketing initiative is inherently dependent on various factors beyond suisub's control, including market conditions, client actions, and third-party services. suisub does not guarantee increases in revenue, traffic, media success, or other specific marketing outcomes. All advice and services provided by suisub are intended to be supportive, and clients acknowledge that they are solely responsible for assessing the suitability of services for their particular needs and objectives. Clients agree that they understand and accept the risks associated with marketing activities and will not hold suisub liable for any lack of success.
Indemnity
User Indemnification
As a condition of use, clients agree to indemnify, defend, and hold harmless suisub, including its directors, employees, agents, affiliates, and partners, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising from or in connection with the client's misuse of suisub’s services, breach of these Terms and Conditions, violation of applicable laws, or interactions with third parties. This indemnity obligation applies to all claims, actions, and proceedings brought against suisub by any third party due to or arising out of the user’s use of the services or any violation of these terms.
Scope of Indemnification
The indemnification provided by users shall cover all costs incurred by suisub as a result of any claim, including legal costs, settlement expenses, penalties, damages, and all other expenses related to third-party claims. This indemnification extends to any misuse or unlawful use of suisub’s platform, any content shared or submitted by the user that results in harm or liability, and any claims arising from the violation of intellectual property rights, privacy rights, or other rights of third parties. Clients agree to cooperate with suisub in any defense proceedings and acknowledge that suisub reserves the right to take exclusive control over the defense of any claim, subject to indemnification by the user.
Modification of Terms

suisub reserves the right to modify, amend, or update these Terms and Conditions at any time. Such modifications may be necessary to reflect changes in our services, comply with new regulatory requirements, accommodate technological advancements, or respond to feedback from our users. The amended Terms and Conditions will supersede any prior versions, and all updates will be made accessible on our platform for review.
Notification of Changes

Governing Law and Dispute Resolution
Jurisdiction
These Terms and Conditions are governed by, and construed in accordance with, the laws of France, without regard to its conflict of law principles. All parties agree that any legal action or proceeding relating to these Terms and Conditions or the use of suisub services shall be instituted exclusively in the courts of Paris, France. By using suisub, you expressly agree to submit to the jurisdiction of these courts for the purpose of litigating any such disputes.
Dispute Resolution Mechanism
In the event of a dispute arising out of or in connection with these Terms and Conditions, the parties agree to first attempt to resolve the issue amicably through negotiation. If a resolution cannot be reached within 30 days of initiating such discussions, the dispute shall be resolved through binding arbitration. The arbitration shall be conducted in accordance with the rules of the International Chamber of Commerce (ICC) by a single arbitrator appointed in accordance with those rules. The arbitration shall take place in Paris, France, and be conducted in the English language. Each party shall bear its own costs, and the decision of the arbitrator shall be final and binding.
Alternative Dispute Resolution (ADR)
As an alternative to arbitration, suisub offers users the option of pursuing Alternative Dispute Resolution (ADR) in the form of mediation. This non-binding process is designed to help resolve disputes without the need for formal litigation or arbitration. If both parties agree, a neutral third-party mediator will facilitate a structured discussion aimed at achieving a mutually agreeable outcome. The costs of mediation shall be shared equally between the parties, and it shall be conducted in Paris, France, unless otherwise agreed upon in writing.
Miscellaneous Provisions
Force Majeure
suisub shall not be liable for any failure or delay in performing its obligations under these Terms & Conditions due to circumstances beyond its reasonable control. Such circumstances include, but are not limited to, acts of God, natural disasters, technical failures, cyber-attacks, pandemics, governmental actions, or any other unforeseen events that prevent suisub from fulfilling its contractual obligations. During such an event, suisub's obligations will be suspended until the event in question is resolved.
Entire Agreement
These Terms & Conditions, along with any other policies or agreements referenced herein, constitute the entire agreement between suisub and the user. This agreement supersedes any prior or contemporaneous communications, understandings, or agreements between the parties, whether oral or written, regarding the services provided by suisub. Users acknowledge that they have not relied on any representations or warranties not expressly set forth in these Terms & Conditions.
Severability
If any provision of these Terms & Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remainder of the agreement, which shall continue to be valid and enforceable to the fullest extent permitted by law. The invalid or unenforceable provision will be replaced by a valid provision that most closely approximates the intent and economic effect of the original provision.
Waiver
No waiver of any right or provision of these Terms & Conditions by suisub shall be deemed effective unless made in writing and signed by an authorized representative of suisub. Failure or delay by suisub to exercise any right or enforce any provision shall not constitute a waiver of such right or provision. Any waiver of any right or provision shall not be construed as a waiver of any subsequent breach or default, nor shall it constitute a continuing waiver.
